You just enter the email address, whereby an automatic notification is sent that informs each insider of its obligations under MAR and requests a confirmation.
Tired of all emails with information that you have to enter manually into the insider list? Let the insiders fill out the details themselves – in a form with required input fields so nothing is missed.
MAR states that the company must “take all reasonable steps” to ensure that insiders confirm their obligations. InsiderLog sends automatic email alerts every 24 hours, until all insiders have confirmed and filled out the complete data.
MAR sets high requirements for how you manage and update your insider list. The requirements are both time-consuming and some are technically difficult to comply with by manual administrations. For example, can you track changes made in your insider list? Probably not, at least not if you are using an ordinary Excel spreadsheet. Learn more about what it takes to be compliant.
To delay the disclosure of insider information a number of criteria must be met under MAR, and this assessment needs to be documented. InsiderLog guides you through the assessment for every new insider list and records it, in case the financial supervisory authorities would have any questions.
The insider list must be kept electronically and be available only for authorized persons. InsiderLog has a two-factor authentication process – to sign in the user will need a password as well as a one time verification code received via SMS.
According to MAR you must be able to track changes in the insider list, similar to an accounting software. It should not be possible to make changes without them being recorded. This is technically difficult to achieve with softwares such as Excel, but InsiderLog handles it automatically so you can be confident that you meet even the toughest requirements.
Confirmations from insiders cannot be kept in a mailbox, but must be more permanently and separately saved. InsiderLog does the job for you and automatically saves the confirmations together with the insider list.
MAR requires that you register the exact time of creating the insider list , as well as when a new insider is added or any update is made. InsiderLog records everything automatically with exact time stamps.
When the insider information is disclosed you need to notify your local financial authorities. This notification shall include when the insider list was created and who made the decision to create it etc. This information is automatically collected and sent to your local financial authority, so you don’t need to send manual emails.
As no data is stored by us, you maintain full control of your insider lists. InsiderLog is decentralised and each customer, with a click of a button, sets up its “own cloud” with world-leading Amazon Web Services, certified in accordance with ISO 27001. All communication goes through your own email server and we will never have access to your data – neither the insider lists you create, the insiders you have registered nor the actual insider information itself.
